Abstract:
در طول چهاردهه گذشته، خطرات ناشی از همکاری میان شرکا به دلیل وجود تعارض به عنوان عامل درونی و تاثیری که بحران های سیاسی، اقتصادی و حقوقی به عنوان عامل بیرونی بر روابط میان آنها می گذارد، تهدیدی برای ادامه فعالیت شرکتهای تجاری بین المللی در نظر گرفته شده است. از آنجا که این موارد غیر قابل پیش بینی و ناگهانی است، مدیریت خطر قبل از آغاز هر گونه مشارکت همانند درج شرط خروج و یا شروط محدود کننده در انتقال به عنوان فرآیندی جامع توسط سرمایه گذاران خارجی مورد استفاده قرار می گیرد. به این دلیل که عدم قطعیت و خطر، همراه جدایی ناپذیر هر گونه مشارکت از جمله شرکت های ناشی از مشارکت انتفاعی محسوب می شوند، هدف از این پژوهش، آگاهی نسبت به عامل ایجادی خروج که نقش موثری در نگارش قراردادها اعم از قرارداد آغاز همکاری و اساسنامه شرکت دارد، می باشد. از این رو سعی بر این شده است که با دید جامع به بررسی کلیه خطراتی ناشی از تعارضات در امور داخلی شرکت و روابط میان شرکا و امور خارجی که مربوط به حوادث خارج از شرکت مانند وضعیت اقتصادی، سیاسی و فرهنگی کشور میزبان است، پرداخته شود.
Last four decades, the dangers of differences in the company's internal affairs and the political, economic and legal crises that have led to conflict have been seen as a threat to the operation of international trade companies. Because these are unpredictable and sudden, risk management before the start of any partnership, such as the insert of exit clause or restrictive clauses in the transfer of share is used as a comprehensive process by foreign investors. Since uncertainty and risk are an integral part of for Joint Venture Companies, Our goal from writing this article is awareness of this risk playing an important role in drafting contracts in a way that is responsive to problems during the life of the company. Therefore, in this article, we attempt to examine all the risks arising from the internal affairs of the company and the relations between partners and foreigners that are related to events outside the company, such as the economic, political and cultural situation of the host country.
